Terms of Service

• The Platform means JustList, acting as Merchant of Record for digital product sales.
• The Creator means the individual or entity that creates the digital asset and grants the Platform the right to sell it.
• The Buyer means the end consumer who purchases the digital product from the Platform.
• The Asset means the file, template, software, or course transacted on the Platform.

JustList functions through two separate legal lanes to preserve regulatory compliance.

For commercial licensing transactions, the Platform is the sole Merchant of Record and authorized reseller of the Digital Product. The binding contract of sale is between the Platform and the Buyer. The Platform does not operate as a passive marketplace for these transactions.

The Creator retains all ownership, copyright, and intellectual property rights in the Digital Product. Uploading a Digital Product does not transfer ownership to the Platform.

By uploading a Digital Product, the Creator grants the Platform a worldwide, non-exclusive, sublicensable right to host, market, distribute, and commercially sell the Digital Product to Customers under the applicable commercial terms.

The Creator represents and warrants that they have the right to grant these rights and that the Digital Product does not infringe the rights of any third party.

The Creator agrees to indemnify, defend, and hold harmless the Platform, its directors, and employees against claims, damages, liabilities, and legal costs arising from infringement allegations, defects, harm, or misrepresentation.

For Lane 1 transactions, the Platform is responsible for issuing the final tax invoice to the Customer under the Platform's legal name and GST registration, where applicable.

The Platform is responsible for collecting and remitting applicable GST on retail storefront transactions as required under Indian law.

Customer payments are processed through the Platform's payment gateway. The Creator does not receive Customer payment data except as required by law or by platform controls.

Funds credited to the Creator are treated as Content Distribution Royalties or Base Licensing Fees and are part of the Platform's cost of goods sold for the transaction.

The Platform retains its Distribution Margin and remits the net balance to the Creator.

In accordance with Section 194O of the Income Tax Act, 1961, the Platform will deduct 1% Tax Deducted at Source (TDS) on all gross payouts to resident Creators, routed to the Income Tax Department using the Creator’s PAN

If a Creator's accrued royalties exceed the statutory limit for unregistered service providers, the Platform reserves the right to suspend payouts until a valid GSTIN is provided.

The Platform handles payment disputes, chargebacks, and refund processing for Lane 1 transactions.

The Creator remains responsible for the accuracy, quality, and functionality of the Digital Product.

Digital Products are generally non-returnable once delivered or made available. Refunds are limited to cases where a product is corrupt, defective, unavailable, or materially misrepresented. In such events, the Platform reserves the right to claw back the corresponding royalty fee directly from the Creator’s wallet balance or future payouts.

Support transactions are voluntary and generally non-refundable.

To use certain features of the Platform, users may be required to create an account.

By creating an account, you represent and warrant that:

• You are at least 18 years of age or otherwise legally capable of entering into binding agreements under applicable law.
• All information provided to the Platform is accurate, complete, and current.
• You will promptly update any information that becomes inaccurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. The Platform is not responsible for losses resulting from unauthorized access caused by your failure to secure your account.

The Platform may require Creators to complete Know Your Customer ("KYC"), tax verification, bank account verification, PAN verification, GST verification, or other compliance procedures before accessing certain features, receiving payouts, or increasing account limits.

The Platform reserves the right to:

• Request additional documentation at any time.
• Suspend or delay payouts pending verification.
• Restrict account functionality where compliance obligations have not been satisfied.
• Refuse service where identity verification cannot be reasonably completed.

Providing false, misleading, fraudulent, or incomplete information may result in immediate suspension or termination of the account.

Users may not upload, distribute, promote, sell, or otherwise make available any content that:

• Violates applicable law.
• Infringes copyright, trademark, patent, trade secret, or other intellectual property rights.
• Contains malware, spyware, ransomware, viruses, or malicious code.
• Facilitates fraud, scams, deceptive practices, or unlawful financial activity.
• Contains stolen, pirated, or unauthorized content.
• Promotes violence, terrorism, exploitation, or illegal conduct.
• Violates the privacy or rights of another person.
• Attempts to interfere with the operation, security, or integrity of the Platform.

The Platform reserves the right to remove content, restrict access, suspend accounts, or report activity to relevant authorities where required.

The Platform may impose storage limits, file size restrictions, bandwidth limits, or usage thresholds.

Storage allocations, upgrade eligibility requirements, and related limitations may be modified from time to time.

The Platform does not guarantee perpetual storage, perpetual availability, or indefinite hosting of Digital Products.

Where accounts become inactive, violate Platform policies, fail required compliance procedures, or otherwise cease to qualify for continued storage access, the Platform may archive, restrict, or remove hosted content following any applicable retention period.

Creators are solely responsible for maintaining backup copies of all uploaded content.

The Platform reserves the right to delay, suspend, withhold, reverse, or recover Creator payouts where reasonably necessary to:

• Investigate fraud, abuse, or suspicious activity.
• Process chargebacks, disputes, or refunds.
• Satisfy legal, regulatory, tax, banking, or compliance obligations.
• Recover amounts owed to the Platform.
• Mitigate financial, legal, operational, or reputational risk.

The Platform may establish temporary reserves, rolling reserves, or account holds where necessary to protect customers, payment providers, or the Platform.

Where a Creator receives funds in error, the Platform reserves the right to recover such amounts through future payouts or other lawful means.

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, the Platform disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

To the maximum extent permitted by law, the Platform, its affiliates, directors, employees, contractors, and agents shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Platform.

The aggregate liability of the Platform for any claim arising from these Terms shall not exceed the greater of:

The aggregate liability of the Platform for any claim arising from these Terms shall not exceed the total fees paid to the Platform by the affected user during the twelve months preceding the event giving rise to the claim, or ₹10,000 INR, whichever is lower.

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Agartala, Tripura, India.

The Platform may modify these Terms from time to time by publishing an updated version on the Platform.

Continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Neither the Platform nor any user shall be liable for delays, failures, interruptions, or inability to perform obligations under these Terms where such events arise from circumstances beyond reasonable control.

Such circumstances may include natural disasters, acts of government, war, civil unrest, labor disputes, internet outages, telecommunications failures, cloud infrastructure failures, banking disruptions, payment network failures, cyberattacks, or failures of third-party service providers.

The affected party shall be excused from performance for the duration of the event and for a reasonable recovery period thereafter.

JustList may update these Terms from time to time by publishing a revised version on the platform. Continued use of the platform after an update means you accept the revised terms.
